Terms of Service

These Terms are a binding legal agreement between you ("User") and My Special Offer ("we", "the Service"). The agreement takes effect when you create an account or first use the Service. You may not use the Service without accepting the Terms in full.

My Special Offer is a SaaS service that lets business owners create digital proposals through voice recording. The service includes: • Voice recording in Hebrew, English and Spanish • Automatic extraction of proposal fields via AI (Google Gemini) • Field editor with quality controls • Sending proposals to clients via shareable link • Collecting digital signatures from clients • Account management through a dashboard We reserve the right to change features, add new ones, or remove existing ones. Material changes will be communicated in advance.

When creating an account you agree to: • Provide accurate and up-to-date information • Keep your password confidential • Notify us immediately of any unauthorized use of your account • Not create multiple accounts for a single business to bypass plan limits You are responsible for all activity on your account. We will not be liable for damage caused by unauthorized use of your account resulting from your negligence in safeguarding credentials.

You may not use the Service to: • Conduct unlawful activities • Harass, threaten, or produce offensive content • Send spam or misleading content • Reverse-engineer the system • Attempt to bypass security, RLS or plan quota • Transfer the account to a third party without our consent • Operate the Service via bots or automated scripts Serious breaches will result in account suspension and deletion. In severe cases we may pursue legal action.

Current plans: • Free — 3 proposals/month, with "Powered by My Special Offer" branding • Pro — $29/month (Israel ₩99), 50 proposals, no branding • Business — $89/month (Israel ₩299), unlimited, team of up to 5 (at launch) During Beta, all features are free. When Beta ends, we will notify you 30 days before billing begins. Continued use after that point means acceptance of pricing. Payments are processed by Paddle.com Market Limited, Ireland, acting as our external Merchant of Record. We never store card details ourselves. **Refund policy:** • 14-day full refund for first-time upgrades to Pro or Business. Email hello@alma-ads.co.il with your account address; refund is processed by the Merchant of Record within 5-10 business days to the original payment method. • Monthly subscriptions — cancel any time via Settings → Account → Cancel subscription; cancellation takes effect at the end of the current billing period (no prorated refund for the active month, consistent with standard SaaS practice). • Annual subscriptions (when launched) — prorated refund for unused months, minus a 10% processing fee. • Double charges, billing anomalies, or our technical errors — full refund within 10 business days. The content you create (proposals, recordings, text, logos) remains fully yours. You grant us a non-exclusive, worldwide, royalty-free license to use it solely for delivering the Service. The Service technology, logo, design, and code are ours. You may not copy, reproduce, translate, reverse-engineer or create a competing product based on our technology.

Per the Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001 et seq.), electronic signatures generated in My Special Offer are legally binding in the United States. Signed proposals are retained as evidence for 7 years per the regulations. The system generates a canonical SHA-256 hash for each signature, preserving integrity against tampering. US users who wish to opt out of electronic signatures may do so by written request to hello@alma-ads.co.il.

Per Regulation (EU) No 910/2014 (eIDAS), electronic signatures in My Special Offer meet the requirements of a Simple Electronic Signature (SES) under Article 3(10). SES are admissible as evidence in EU member-state courts under Article 25. They may require additional evidence in certain cases — but will not be denied solely for being electronic. Signed proposals are retained 7 years as evidence, with canonical SHA-256 hash and full metadata (IP, User-Agent, timestamp, consent text).

In Israel, electronic signatures in the system constitute an "electronic signature" as defined in the Electronic Signature Law, 5761-2001. They are admissible as evidence in Israeli courts per Section 2 of the Law. Our signature is not a "Certified Electronic Signature" (SEA) — which requires a certificate from an authorized certification authority. For most small-business purposes, a regular electronic signature is sufficient. If a document requires SEA by law (for example certain banking contracts), an external service should be used. Signed proposals are retained 7 years as evidence.

The system uses Google Gemini for transcription and field extraction. AI may make mistakes, miss details, or produce inaccurate content ("hallucination"). Final responsibility for proposal content — prices, names, terms — is yours as the user. We strongly recommend reviewing every field before publishing the proposal to a client. You cannot claim damages against us based on an AI error if you did not review the proposal before sending. The AI does not replace legal, accounting or professional advice.

• Unsigned proposals — until you delete them • Signed proposals — 7 years from signature date. Cannot be deleted during this period • User account — retained until you request deletion. After deletion, 30 days of backup then full wipe • Raw voice recordings — 24 hours from upload • Transcripts — 90 days from extraction The 7-year retention is a legal requirement (eIDAS, ESIGN, Israeli Electronic Signature Law 2001). There is no way around it, even if requested.

You may cancel your account any time through Settings → Account → Delete. Your signed proposals will remain in the system until the end of the legal retention period. We may terminate or suspend the service in cases of: • Breach of Terms • Non-payment 30 days after the due date • Suspected abuse / fraud • Legal requirement In case we terminate, you will receive 30 days' notice (except for serious fraud) and an opportunity to export your data.

The Service is provided "AS IS" and "AS AVAILABLE". We do not warrant: • That the service will be available 24/7 without interruption • That the AI will extract fields with perfect accuracy • That the service will meet your specific needs • That the service will be free of bugs or glitches We operate in good faith toward continuous improvement, but do not guarantee outcomes.

Our total liability toward you is capped at the amount you paid for the Service in the 12 months preceding the event. In no case will we be liable for: • Indirect loss of profit • Data loss (except breach of retention duties) • Indirect, incidental or consequential damages • Damage caused by a third party's actions These limitations apply to the maximum extent permitted by law. If you are a resident of the European Union, your local law may grant you additional protections we do not waive.

These Terms are governed by the laws of the State of Israel. Exclusive jurisdiction over any dispute rests with the competent court in Tel-Aviv, Israel. If you are a resident of the European Union, this clause does not deprive you of protections granted by your local law.
